TERMS AND CONDITIONS

1. Introduction and Acceptance
These Terms and Conditions (“Terms”) are a binding agreement between you (“User,” “you,” or “Participant”) and Fusion Sports, LLC, an Arizona limited liability company (“Fusion Sports,” “we,” “us,” or “our”), governing your access to and use of our websites, mobile applications, Fusion Passport digital engagement platform, training applications, tournaments, clinics, festivals (including Fusion Festival), activations, and related services (collectively, the “Services”).
By accessing the Services, registering for an event, creating an account, completing a purchase, or attending a Fusion Sports event, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
Parents and Legal Guardians: If you are registering or otherwise enrolling a minor (under 18), you represent that you are the parent or legal guardian of that minor, that you have authority to bind the minor to these Terms, and that you agree to these Terms on the minor’s behalf, including the waiver, release, indemnification, arbitration, and media-rights provisions.
2. Eligibility
To create an account or complete a registration, you must be at least 18 years old. Minors may participate in events and programs only through registration by a parent or legal guardian. By using the Services, you represent and warrant that all information you provide is accurate and complete, that you have the legal capacity to agree to these Terms, and that your use of the Services complies with applicable law.
3. Accounts and User Responsibilities
You are responsible for:
- Providing accurate, current, and complete registration information;
- Maintaining the confidentiality of your account credentials and QR/NFC-based Fusion Passport identifiers;
- All activity that occurs under your account or credentials, including activity by a minor you represent;
- Promptly notifying us at [Company Contact Email] of any unauthorized use or suspected security breach; and
- Ensuring that information you provide about a minor is authorized and accurate.
We reserve the right to suspend, limit, or terminate accounts at our discretion, including for suspected fraud, misuse, or violation of these Terms.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, harassing, abusive, or harmful purpose;
- Impersonate another person, misrepresent your affiliation, or manipulate player eligibility or age divisions;
- Upload or transmit viruses, malware, or harmful code;
- Attempt to gain unauthorized access to any portion of the Services, accounts, or systems of Fusion Sports or its service providers, including GotSport, PlayMetrics, Squarespace, or payment processors;
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Services without our prior written consent;
- Interfere with, disrupt, or degrade the Services or other users’ experience;
- Copy, reproduce, modify, publicly display, distribute, create derivative works from, sell, or commercially exploit Fusion Sports content or branding without authorization;
- Abuse, harass, threaten, or discriminate against other participants, coaches, officials, staff, volunteers, or attendees at any event or on any platform;
- Violate codes of conduct, rules, or safety protocols adopted by Fusion Sports, affiliated clubs, or governing bodies.
Violations may result in suspension or termination of account access, removal from events without refund, and legal action.
5. Event Registration and Payments
5.1 Registration
Registration is completed through our website, the Fusion Passport platform, or authorized third-party platforms such as GotSport and PlayMetrics. A registration is not confirmed until payment is received and we have sent a confirmation. Fusion Sports reserves the right to reject or cancel any registration at its discretion, including where information is incomplete, inaccurate, or indicates ineligibility.
5.2 Fees and Taxes
All fees are stated in U.S. dollars and are exclusive of any taxes that may apply. You are responsible for any applicable sales tax, transaction fees imposed by payment processors, or similar charges.
5.3 Payment Processing
Payments are processed by PCI-DSS compliant third-party payment processors (credit card and ACH). By submitting payment information, you authorize the charge to the payment method provided and represent that you are authorized to use that payment method. Fusion Sports is not liable for errors, failures, security incidents, or delays attributable to third-party payment processors.
5.4 No-Refund Policy; Conditional Refunds
All registration fees, deposits, and other event payments are non-refundable and non-transferable, except as expressly provided below or as required by applicable law.
Fusion Sports may, at its sole discretion, offer the following conditional options:
- Credit toward a future event if written notice of withdrawal is received at least thirty (30) days before the event start date, less any non-recoverable administrative, platform, and insurance costs.
- Partial or full refund where required by applicable consumer-protection law.
- Event-cancellation credit as described in Section 5.5.
Chargebacks, disputes, and payment reversals submitted without first contacting Fusion Sports will be contested. Fraudulent chargebacks may result in removal from current and future events and referral for collection.
5.5 Event Changes, Cancellations, and Rescheduling
Fusion Sports reserves the right to modify, postpone, relocate, consolidate, or cancel any event, match, session, bracket, schedule, field assignment, or component of an event at any time, including for weather, safety, insufficient registration, facility availability, regulatory action, public health, or any Force Majeure Event (as defined in Section 17).
If Fusion Sports cancels an entire event and does not offer a reasonable rescheduled date or substitute event, registered participants will receive, at Fusion Sports’ discretion, either (i) a credit toward a future Fusion Sports event of equal or greater value, or (ii) a partial refund reflecting fees actually received by Fusion Sports less non-recoverable costs (such as facility deposits, insurance, platform fees, referee fees, and operational costs already incurred).
No refunds or credits will be issued for partial cancellations, reduced numbers of games, weather shortenings, or schedule changes so long as a meaningful portion of the event occurs.
5.6 Eligibility and Disqualification
Participants must meet age, residency, roster, and eligibility requirements specified for each event. Fusion Sports may disqualify participants or teams for eligibility violations, roster fraud, unsportsmanlike conduct, or violations of these Terms, without refund.
6. Assumption of Risk — Sports Participation
Participation in soccer and other sports, tournaments, festivals, clinics, and training activities involves inherent and significant risks of physical injury, property damage, illness, disability, and death.
You acknowledge and accept that risks include, but are not limited to:
- Collisions with players, balls, goals, posts, fences, spectators, or objects;
- Falls, sprains, strains, fractures, concussions and other head injuries, cardiac events, heat- and cold-related illness, dehydration, and overexertion;
- Conditions of playing fields, surfaces, facilities, lighting, and equipment;
- Weather conditions, including heat, cold, wind, lightning, rain, and air quality;
- Negligent acts of other participants, coaches, spectators, officials, or third parties;
- Exposure to communicable diseases, including but not limited to viral illnesses, at events, in facilities, and during travel; and
- Risks associated with travel to, from, and between venues.
You voluntarily assume all such risks and responsibilities, whether known or unknown, and whether caused by the negligence of Fusion Sports or otherwise, to the fullest extent permitted by law. Parents and legal guardians assume these risks on behalf of minor participants.
7. Medical Responsibility
You represent that each participant is in good physical condition and has no medical condition that would make participation dangerous. You are solely responsible for:
- Obtaining any medical examinations, clearances, immunizations, and insurance coverage appropriate for participation;
- Disclosing to Fusion Sports, prior to participation, any medical condition, allergy, medication, or concussion history that could affect participant safety;
- Providing accurate emergency-contact information; and
- All costs of medical treatment, transport, hospitalization, and rehabilitation arising from or relating to participation.
Authorization for Emergency Care: You authorize Fusion Sports and its personnel to arrange for emergency medical care if, in their judgment, such care is necessary. You agree that Fusion Sports has no obligation to provide medical personnel or services beyond what is expressly stated for a given event and is not responsible for the decisions or conduct of independent medical providers.
8. Waiver and Release of Liability
In consideration of being permitted to participate in or attend any Fusion Sports event, program, or service, and to the fullest extent permitted by applicable law, you — for yourself, any minor you represent, and your heirs, executors, administrators, assigns, and personal representatives — hereby release, waive, discharge, and covenant not to sue Fusion Sports, its affiliates, officers, directors, members, employees, contractors, coaches, referees, volunteers, agents, sponsors, venue owners, and facility operators (collectively, the “Released Parties”) from any and all claims, demands, actions, damages, losses, costs, and expenses, including attorneys’ fees, arising out of or related to participation in or attendance at any Fusion Sports event or use of the Services, whether caused by the negligence of the Released Parties or otherwise.
This Waiver and Release does not apply to liability that cannot lawfully be waived in a particular jurisdiction, including claims of gross negligence, recklessness, or intentional misconduct where such claims cannot be released under applicable state law.
If any portion of this Section is held unenforceable in a particular jurisdiction, the remainder shall remain in full force and effect, and the unenforceable portion shall be enforced to the maximum extent permitted by law.
9. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Released Parties from and against any and all third-party claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your or your minor’s participation in any Fusion Sports event, program, or activity;
- Your breach of these Terms, the Privacy Policy, or applicable law;
- Your use of the Services or Fusion Passport;
- Content, statements, or conduct you submit to or engage in through the Services; and
- Any negligent or wrongful act or omission by you or your minor.
Fusion Sports reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
10. Disclaimers
The Services and all events, features, and content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy. Fusion Sports does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Fusion Sports makes no warranties regarding third-party platforms, including GotSport, PlayMetrics, Squarespace, payment processors, and sponsor platforms. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, in no event shall Fusion Sports or the Released Parties be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to these Terms, the Services, or any event, whether based on contract, tort (including negligence), strict liability, or other legal theory, even if Fusion Sports has been advised of the possibility of such damages.
To the maximum extent permitted by law, Fusion Sports’ total cumulative liability arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid to Fusion Sports for the specific event or service giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, or limit liability for personal injury; in those jurisdictions, the foregoing limitations apply only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.
12. Intellectual Property
Fusion Sports Marks. “Fusion Sports,” “Fusion Festival,” “Fusion Passport,” and all related names, logos, graphics, designs, slogans, and trade dress are trademarks or service marks of Fusion Sports, LLC (the “Marks”). You may not use the Marks without our prior written consent.
Content. All content made available through the Services — including text, graphics, photos, videos, software, databases, logos, designs, and compilations — is owned by Fusion Sports or its licensors and is protected by copyright, trademark, trade dress, and other intellectual-property laws. Except for the limited personal, non-commercial use expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, create derivative works from, or commercially exploit any such content without our prior written consent.
User Submissions. If you submit content to Fusion Sports (including photos, videos, reviews, feedback, testimonials, or social posts tagged to us), you grant Fusion Sports a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works of such content for any purpose, including marketing and sponsor activations, without compensation to you.
13. Media, Photography, and Likeness Rights
By registering for, participating in, or attending any Fusion Sports event, you — and, if applicable, on behalf of any minor you represent — grant Fusion Sports and its affiliates, sponsors, licensees, and authorized partners an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, sublicensable, and transferable right and license to photograph, film, record, stream, and otherwise capture your and the minor’s image, likeness, voice, name, jersey number, and performance, and to use, reproduce, edit, modify, adapt, publish, distribute, publicly display, and create derivative works of such media for any lawful purpose, including promotional, editorial, commercial, sponsor-activation, training, educational, and archival purposes, in all media now known or later developed.
You waive any right to inspect or approve the finished product, any use of the media, or any compensation for such use, and you release Fusion Sports and its licensees from any claims arising out of the use of such media, including claims of defamation, invasion of privacy, right of publicity, or copyright infringement, to the fullest extent permitted by law.
You may request removal from specific Fusion Sports-controlled media by contacting info@fusionsportsventures.com. Fusion Sports will make reasonable efforts to comply but cannot guarantee removal from third-party or previously distributed materials.
14. Termination
We may suspend, limit, or terminate your access to any or all of the Services, or remove you from any event, at any time and without prior notice, for any reason, including for:
- Violation of these Terms or applicable codes of conduct;
- Fraud, misrepresentation, or roster manipulation;
- Non-payment or chargebacks;
- Harassment, violence, discriminatory conduct, or unsportsmanlike behavior; or
- Conduct that we determine poses a risk to participants, staff, attendees, sponsors, or the Fusion Sports brand.
Termination does not entitle you to a refund and does not limit Fusion Sports’ other rights and remedies. Sections that by their nature should survive termination (including intellectual property, media rights, waiver and release, indemnification, disclaimers, limitation of liability, arbitration, and governing law) shall survive.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in Section 16. Nothing in this Section deprives any consumer of the protection of the mandatory provisions of the law of the state in which the consumer resides.
16. Dispute Resolution; Binding Arbitration; Class Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
16.1 Informal Resolution
Before initiating arbitration or other formal proceedings, you and Fusion Sports agree to attempt to resolve any dispute informally by sending a written Notice of Dispute to info@fusionsportsventures.com (for Fusion Sports) or to the email on file (for you). The parties will negotiate in good faith for at least sixty (60) days.
16.2 Binding Arbitration
If the dispute is not resolved informally, you and Fusion Sports agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) — other than claims excluded below — will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will be conducted in Maricopa County, Arizona, or, at your written request as a consumer, in the county where you reside. The arbitrator’s decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
16.3 Exceptions
Notwithstanding Section 16.2, either party may (a) bring an individual action in small-claims court for disputes within that court’s jurisdiction, or (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidentiality, or prevent imminent harm.
16.4 Class Action Waiver
YOU AND FUSION SPORTS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable with respect to a particular claim, that claim (and only that claim) shall be severed and brought in court, while all remaining claims proceed in arbitration.
16.5 30-Day Opt-Out Right
You have the right to opt out of the arbitration agreement and class-action waiver in this Section 16 by sending written notice to [Company Contact Email] within thirty (30) days of first accepting these Terms. The notice must include your full name, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
16.6 Why Arbitration
Arbitration is typically faster and less formal than court litigation. It is designed to resolve disputes efficiently and, for consumer matters, is generally less expensive. By agreeing to arbitration, you and Fusion Sports each waive the right to a trial by jury and the right to participate in class actions.
17. Force Majeure
Fusion Sports shall not be liable for any failure or delay in performance, or for cancellation, postponement, relocation, or modification of any event, caused by events beyond its reasonable control, including acts of God; severe weather, lightning, wildfires, floods, earthquakes; fire; utility or facility failure; labor disputes; shortage of materials; acts of civil or military authority; war, terrorism, riot, or civil unrest; epidemics, pandemics, or public-health emergencies and related governmental orders; and failures of third-party platforms, payment processors, or telecommunications providers (each, a “Force Majeure Event”). Remedies available to participants in a Force Majeure Event are governed by Section 5.5.
18. Severability; Waiver; Assignment; Entire Agreement
If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, severed, and the remaining provisions shall remain in full force and effect.
No waiver of any provision shall be effective unless in writing, and no waiver shall constitute a continuing waiver of that or any other provision. These Terms are personal to you; you may not assign or transfer them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms, together with the Privacy Policy and any event-specific waivers, rules, or registration terms incorporated by reference, constitute the entire agreement between you and Fusion Sports regarding the Services and supersede all prior agreements and understandings.
19. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will post the updated Terms and update the “Last Updated” date, and may notify you by email or through the Services. Your continued use of the Services or participation in an event after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
